Terms of Service

These Terms of Service ("Terms") govern your use of Filoxia ("the Service"), a family grocery and meal planning app provided by Codivers Group ("Codivers Group", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who you are contracting with

You are entering into this agreement with Codivers Group, the operator of Filoxia. You confirm that you are of legal age to enter into a binding contract in your jurisdiction and, if you are using the Service on behalf of an organisation, that you have authority to bind that organisation.

2. The Service

Filoxia lets you and the people in your household or party group plan meals, share shopping lists, track pantry items, manage family schedules, and host events together. Features available on each plan are described on our pricing page.

3. Your account

  • You must provide accurate information and keep it up to date.
  • You are responsible for safeguarding your credentials and for any activity under your account.
  • You must notify us promptly of any unauthorised use of your account.

4. Acceptable use

You agree not to misuse the Service. You will not:

  • use the Service for any unlawful purpose;
  • engage in fraud, spam, harassment, or abuse;
  • infringe anyone's intellectual property or privacy;
  • probe, scan, scrape, or interfere with the Service's security or integrity, or attempt to introduce malware;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law;
  • resell or redistribute access to the Service without our consent.

5. User content

You retain ownership of the content you put into Filoxia (meals, lists, messages, etc.). You grant Codivers Group a limited, worldwide, non-exclusive licence to host, store, and process that content solely to provide the Service to you and the people you share it with. Members of your family or party group can see what you post in those shared spaces.

6. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by Codivers Group and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and the plan you have selected.

7. Payments, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Checkout Buyer Terms in addition to these Terms.

  • Paid plans renew automatically at the end of each billing period (monthly or yearly) until cancelled.
  • You can cancel a subscription at any time from your Account page. Access continues until the end of the current billing period.
  • Prices are shown in USD on the pricing page. Applicable taxes are calculated at checkout by Paddle.
  • Refunds are described in our Refund Policy.

8. Free plan and feature limits

The free plan is offered subject to usage limits described on the pricing page. We may change the free plan or its limits with reasonable notice.

9. Service availability

We work hard to keep Filoxia available, but we do not guarantee that the Service will be uninterrupted or error-free. We may update, modify, or temporarily suspend features for maintenance or to improve the product.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees due, create security or fraud risk, or repeatedly violate our policies. You may stop using the Service and delete your account at any time by contacting support@filoxia.com. On termination, your access ends and your data may be deleted in line with our Privacy Policy.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Recipes, nutrition estimates, and auto-generated suggestions are for general informational purposes only and are not a substitute for professional dietary, medical, or allergy advice.

12. Limitation of liability

To the fullest extent permitted by law, Codivers Group's aggregate liability arising out of or relating to the Service shall not exceed the fees you paid to us (via Paddle) in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, consequential, incidental, special, or exemplary damages, including loss of profits, data, goodwill, or business opportunity. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud, death, or personal injury caused by negligence).

13. Indemnity

You agree to indemnify and hold Codivers Group harmless from any claims, damages, or expenses arising from your content, your unlawful use of the Service, or your breach of these Terms.

14. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. If changes are material, we will let you know inside the app or by email. Continued use of the Service after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws applicable at the registered seat of Codivers Group, without regard to its conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer-protection law in your country of residence requires otherwise.

16. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

17. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, strikes, internet or power outages, and acts of government.
